Terms of Service
These Terms of Service (“Terms”) are the agreement between you and Iron Meridian Technologies (“Ask Alice,” “we,” or “us”) when you sign up for Ask Alice. By using the service you agree to these Terms. If you don’t agree, don’t use the service.
The short version. You pay $250/month for Alice on your website. We build her, host her, and tune her. You can cancel anytime by removing the embed code — no fees, no contracts, no haggling. The setup fee is refundable for 30 days, no questions asked. Don’t use us for anything illegal. We provide the service as‑is and our liability is capped at what you paid us in the last 3 months.
1. Who can use Ask Alice
Ask Alice is for businesses. By signing up, you represent that you are at least 18 years old and authorized to bind the business you’re signing up on behalf of. You may not use Ask Alice if doing so would be unlawful in your jurisdiction.
2. What we provide
We provide an AI‑powered chat assistant that lives on your website, trained on your business’s information. The service includes:
- An embeddable chat widget (one line of HTML on your site).
- Initial setup, including building Alice’s knowledge base from materials you provide.
- Ongoing hosting and operation of the service.
- Tuning and changes during the active subscription, requested via direct communication with Wulf.
- Direct access to Wulf for support, including via phone and email.
3. Pricing and payment
Subscription. $250/month, flat. Billed monthly in advance via Stripe. Includes unlimited customer conversations, hosting, support, and tuning.
Setup fee. A one‑time setup fee between $1,000 and $2,000, finalized during the intake call based on the scope of your business. Most setups land at $1,000. The setup fee covers the initial build, testing, and the first month of go‑live tuning.
Refund policy on setup. If Ask Alice isn’t saving you time and helping your customers within the first 30 days of going live, we will refund your setup fee in full. No forms, no retention calls, no questions. Email Wulf and the refund is initiated.
Cancellation. You can cancel your monthly subscription at any time by removing the embed snippet from your site, or by emailing us. Cancellation is effective at the end of the current billing period; we don’t pro‑rate or refund partial months on the recurring subscription.
Failed payments. If a payment fails, we’ll attempt to charge again and notify you by email. If the failure persists for more than 7 days, we may suspend the service until payment is resolved. Your data is retained during suspension; we will not delete it without warning you.
4. Your responsibilities
When you use Ask Alice, you agree:
- To provide accurate information about your business and to keep that information current.
- To have the legal right to share with us any content (FAQs, policies, materials) that you give us to train Alice on.
- To maintain your own privacy policy on your website that discloses the use of an AI chat assistant and that personal information may be collected through it.
- To comply with applicable laws, including consumer protection, privacy, and accessibility laws.
- Not to use Ask Alice for spam, harassment, illegal activity, or anything that infringes others’ rights.
- To monitor Alice’s outputs in your domain — while we tune carefully, AI can make mistakes, and you remain responsible for what your customers experience on your site.
5. Acceptable use
You may not use Ask Alice (or your version of Alice on your website) to:
- Deceive customers about whether they’re speaking with a human or AI when directly asked.
- Provide medical, legal, or financial advice in a way that could cause harm.
- Collect information from minors under 13 or otherwise violate COPPA, HIPAA, or similar.
- Impersonate another person or business.
- Send unsolicited marketing or spam through Alice.
- Violate any applicable law.
If we believe in good faith that you have violated these Terms, we may suspend or terminate your account.
6. Intellectual property
Our IP. The Ask Alice software, design, brand, and underlying systems are ours. Your subscription gives you the right to use the service, not to copy, resell, white‑label, or reverse‑engineer it.
Your content. The content you give us — FAQs, business information, conversations on your site — belongs to you. By giving it to us, you grant us a license to use it solely to provide the service to you (host it, train Alice on it, display it back to your customers).
Aggregate insights. We may use aggregated, anonymized data — e.g., “most common question category across all customers” — to improve the service. This will never include identifiable content from your business.
7. Termination
You can terminate at any time as described in Section 3. We can terminate for breach of these Terms, non‑payment, or if we discontinue the service entirely (in which case we’ll give 60 days’ notice and a pro‑rated refund of any prepaid amounts). Upon termination, your data is retained for 30 days and then deleted unless you request earlier deletion or longer retention.
8. Disclaimers
Ask Alice is provided “as is” and “as available.” We make no warranties, express or implied, that the service will be uninterrupted, error‑free, or perfectly accurate. AI assistants make mistakes. We tune Alice carefully but cannot guarantee she will always answer correctly, and you remain responsible for what she says on your behalf.
To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non‑infringement.
9. Limitation of liability
To the fullest extent permitted by law, our total liability to you for any claim arising out of these Terms or the service is limited to the amount you paid us in the three months immediately preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.
Some jurisdictions don’t allow these limitations, in which case they apply only to the extent permitted.
10. Indemnification
You agree to indemnify and hold harmless Ask Alice, Iron Meridian Technologies, and our personnel from any claim, loss, or expense (including reasonable legal fees) arising out of your use of the service in violation of these Terms, your content, or your violation of applicable law or third‑party rights.
11. Changes to these Terms
We may update these Terms from time to time. The “last updated” date at the top will reflect the most recent revision. For material changes, we’ll notify you by email at least 30 days before the change takes effect. Continued use of the service after a change means you accept the updated Terms.
12. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict‑of‑law principles. Any dispute arising out of these Terms will be resolved in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.
13. Miscellaneous
These Terms (together with the Privacy Policy) are the entire agreement between you and us regarding Ask Alice. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a merger, acquisition, or sale of substantially all of our assets.
